Important steps to start pooling private lender money

When you pool money from private lenders, you’re putting funds together from two or more different private lenders.
You obviously need to look at doing something different where your states paperwork is concerned. This means you will need to file paperwork with your state and provide a disclosure document to your potential private lenders.
In Ohio, for example, we have what is known as 6(A)1 filing. This filing allow for pooling private lenders’ money in running your real-estate investment business.
This filing also allows advertising and unlimited private lenders.
Remember, securities laws and regulations vary from state to state and the Federal SEC has its own set of laws and regulations.
Here is a checklist on ‘how-to’ pool money.
Pooling Money Steps
– Pooling money occurs when you combine funds from two or more different private lenders.
– You should use or form a new business entity. You should choose a corporation (which could be an S-corporation) or an LLC. Some states have different filings available depending upon whether you have a corporation or an LLC, and LLC’s are sometimes treated as partnerships. Most states won’t allow you to pool money when you’re operating as a sole proprietorship or DBA.
– You cannot use your state’s exemption for real-estate transactions, similar to Ohio’s 3(H) exemption, when you pool lenders together. You can not use this particular exemption because there is no paperwork involved. In Ohio, you must “upgrade” to the 6(A)1 form which allows pooling. All states have similar paperwork levels.
– You should use one of your state’s filings that allow for pooling money. As an example, Ohio has a number of these filings available, such as a 6(A)1.
– These filings require you to fill out paperwork, informing the state regulator about your business and what you’re doing. It usually requires you to disclose information to your potential private lenders, which is for your benefit as well as your private lenders’ benefit.
– You’ll pay a fee to your state regulator when you file your paperwork.
One of the things I’ve taught my students and continue to stress is that you shouldn’t be pooling money from private lenders unless you make sure you’re in compliance
In order to be in compliance with your home state’s securities laws if you choose to pool your lender funds, you’ll need to find the proper exemption, filing or registration option, and comply with its requirements.
The following is some general information on staying in compliance with your states requirements. I have included this for those of you that have been asking for additional SEC compliance information.
– When you use an exemption to bring in private lenders, you are making an offer and sale of a security. It’s important to understand that an offer to sell is usually treated the same as a sale when it comes to securities compliance.
– Two key concepts to understand when you sell securities are that there are exempt securities and there are exempt transactions. Whether you’re selling stock, equities, borrowing money, or debt, these are treated as securities.
An exempt security usually means a security issued by a governmental agency or authority.
– An exempt transaction refers to the sale of a security not issued by a government agency that has been given an exemption under state law (or federal law) because of the nature of the security and how it’s sold.
– Many of my students are basing their compliance on the exemptions in their states that are similar to the one in
Ohio found under 3(H):
Ohio Revised Code, Chapter XVII, Title 1707.03(H) The sale of notes, bonds, or other evidences of indebtedness that are secured by a mortgage lien upon real estate, leasehold estate other than oil, gas, or mining leasehold, or tangible personal property, or which evidence of indebtedness is due under or based upon a conditional-sale contract, if all such notes, bonds, or other evidences of indebtedness are sold to a single purchaser at a single sale, is exempt.
– Remember, these are still securities, and the sale of these securities can be exempt under securities laws in Ohio. Compliance with the offer and sale of these securities is still required.
– Some states may offer you more than one choice, so you’ll want to evaluate those choices.

I run a blog where I discuss the topic of the many games people play in the dating arena. I’ve posted hundreds of articles, many of which point out many of these troubles. Even if you haven’t read the blog, you probably are aware of some of these schemes. While I wish it were easy to sum everything up into one neat, overlying problem, it’s not that simple. Let me point out just a few of the issues.
For one, there’s a definite lack of respect in dating nowadays. People don’t even care about their partners enough to treat them as they deserve to be treated. Gossip, ridiculously high expectations, and rejections by ignorance are only some of the examples in this area. Grandparents are always carrying on about how today’s generation has such a lack of respect. They talk about how, in their day, people cared about others and banded together through difficult problems. Why do they talk about these things? Because they’re right! Through every activity in which I’ve been involved, I’ve encountered this problem. I’m tired of working for a hundred hours on a video project when the president of the organization receives but doesn’t bother to even reply to your E-Mails asking him to review it. I’m sick of being ostracized from groups because I don’t care to participate in their petty disagreements. And I’m exhausted after people expect me to work to death in volunteer organizations!
There are always exceptions to this rule, and I’m sure that there are many people who do have a great deal of respect for both their peers and their elders. Unfortunately, the majority, or at least the majority with the most influence, simply don’t care.
Second, nobody is honest with themselves, let alone anyone else. Dating has turned into a torrent of backstabbing of which even Mark Burnett would be proud. Asking someone out is nearly impossible, because the gossip about it has already spread to a thousand people before you make the move. Then, when a rejection occurs (even if it’s not rude), the rejector spreads rumors around to all his/her friends that cause them to completely ignore you, refusing to invite you to parties or even to initiate conversations with you. The biggest insult is that even if you asked point-blank, you’d still never get a truthful answer as to why such harm was directed towards you.
As if what occurs after a rejection isn’t enough, people attempt to steal others’ girl/boyfriends. One day, things are going well, and the next you find yourself wondering what happened to the relationship that was forming – that is, until you notice that person spending a lot of time with who you thought was your best friend. No explanation is offered, not even a “good-bye.”
Third, people are not looking for someone who spends his or her time working to get ahead instead of getting flat-out drunk, who doesn’t curse at or ignore his or her mate, and who actually makes time for whatever is occurring between them (whether it be a full-fledged relationship or just plain sex). They say they’re looking for these things, but in reality, they’re attracted to people with the attributes described above. “Confidence” is not the answer to the equation. Assuming they both possess the same level of “confidence,” the above-described person would win every time over the “warm, caring, and intelligent” (wo)man that people claim is the ideal mate.
The list of problems goes on. You might be intrigued to hear that while the problems seem innumerable, I propose they can all be rectified with the simplest of solutions. There’s no danger involved, nobody has to lead radical changes, and it doesn’t involve an “impossible” fight against biology.
I simply propose for men to stop asking women out.
Not for the rest of your life, but for just a short time, say, a month. It’s not impossible, and you won’t have to do it as much after the month passes. While there are a few (rare) exceptions, the vast majority of women don’t ask out men 50% of the time. Women do have the advantage in dating, and it’s time to level the playing field. Sure, talk with women as friends, and if someone initiates a conversation with you, then definitely reciprocate. However, let the woman ask you out if she’s interested, no matter how attractive she is to you.
Some women have never asked anyone out in their lives. It’s no wonder why these women continually treat men like they’re lower beings. If they had to put up with the rejections that most men do all the time, I guarantee that they would have more respect for men. Women would no longer put up with moving from guy to guy based on who was interested in her at the moment. And spreading gossip about potential romantic interests certainly isn’t going to help one’s prospects.
People need to realize that humans, for all their ancestry, are not monkeys or horses or rabbits. They’re humans, who can think and act for themselves.
Men have so much more capacity in the dating arena than constantly looking for sex at all costs, if they would only exercise it. It’s time to stop being prisoners to so-called “biology.” Women have the same urges men do, and they should do half the work, not 10% or 20%.
There are a lot of “seduction communities” on the Internet that teach men how to “seduce” women. I don’t know of any similar organization that teaches women how to impress men with the same fervor.
There’s my proposal. I don’t think it’s hard to implement. Imagine if all the men even at one corporation or university decided to ban together. Laziness won’t be a problem, becausenobody even has to do anything. It’s time to change our distorted culture. All I’m suggesting is to promote equality. Is that such a bad thing?

International Sourcing Spells Infinite Opportunities for Chinese Products

In an interview, Mr Jia Zhongcheng, CEO of Asia Investment Consultancy, said that further market liberalization has turned China into the world’s largest manufacturing base for consumer goods. Chinese products are highly competitive in quality, variety and price. These superiorities have prompted multinational corporations to view China as one of the important sourcing centers in their international sourcing. The following is the transcript of the interview.

First of all, multinational retailers lock on to “Made in China” products. The multinational corporations that conduct their international sourcing in China are multinational retailing groups. Statistics show that multinational retailers purchased a worth of around US$56 billion of Chinese goods last year, accounting for 9 percent of China’s total exports. Wal-Mart, the largest retail giant in the world, purchased directly or indirectly an amount of US$17.3 billion in China last year, or 3 percent of China’s total exports, while Carrefour’s purchases in China topped US$2 billion. The multinationals with extensive retailing networks in Links Of London Bracelets China, such as Carrefour and Buchan of France, Wal-Mart of the US, Metro of Germany, Macro of the Netherlands and BQ of the UK, have already identified the mainland as their major international sourcing market. Meanwhile, some large multinational manufacturers are looking for raw materials and components up to the standard in China to lower their production costs. Secondly, international sourcing spurs the self-improvement of Chinese enterprises. After becoming suppliers of multinational retailers like Wal-Mart, many domestic enterprises have constantly expanded their production scale, readjusted their product mix, and improved their product quality in line with the demand of multinational retailers. And these enterprises have seen unusual development. For instance, Yili Electronics Group in Guangdong is a company specializing in the production of Hi-Fi systems. Since its cooperation with Wal-Mart in 1995, the amount of orders from the retail giant has been growing at an annual rate of 10 percent, amounting to US$200 million last year and accounting for 50 percent of Yili’s total sales of the year. The Northpole China Ltd. in Xiamen sells goods worth tens of millions of dollars to the US through Wal-Mart every year. Xiamen Fudi Food Factory used to sell its products in Xiamen and the neighboring areas. Through Wal-Mart China, now its food products have made their way to Shenzhen and other affluent cities.

Thirdly, there are both opportunities and challenges for Chinese products in international sourcing. Last year, the global sales of multinational retailers on the list of top 500 amounted to US$1.8 trillion, but Chinese products contributed only 3 percent Links Of London Charms of their turnover. Thus, there is much room for Chinese products in the global sourcing by these multinationals.

Actually, the sales pattern of multinational retailers fits well with China’s current product structure. For example, Wal-Mart needs large quantities of fast moving low-end clothing, and China has price and cost advantage in this type of clothing. Multinational sourcing groups also find Chinese products not only good in quality but also very competitive in price. According to Carrefour, the sourcing in China accounted for 60 percent of its total purchases in Asia last year, and the volume is expected to double in three years. The toy purchasing manager of Auchan’s Guangzhou office also thinks that the growing prestige of Chinese enterprises and their products on the international market has made it favorable for more Chinese goods to be marketed globally.
